Blogger Agreement

BLOGGER AGREEMENT – cryptoblog.net.au

This Agreement states terms and conditions under which a blogger may provide content, in the form of a “blog” forum-style postings, to a publisher. The first part of the Agreement is the Contract Details, which are followed by the Legal Terms.

Agreement Summary

The Blogger is the owner of all original content provided to the Website in any format related to the services related to and provided by the Website as listed in Schedule 1 (‘Submissions ‘).

The Blogger grants a perpetual, irrevocable, world-wide licence of the Licensed Content to Cryptoblog pursuant to the terms and conditions of this Agreement. The Blogger has accepted this offer from Cryptoblog.

Agreement Summary

The Blogger is the owner of all original content provided to the Website in any format related to the services related to and provided by the Website as listed in Schedule 1 (‘Submissions ‘).

The Blogger grants a perpetual, irrevocable, world-wide licence of the Licensed Content to Cryptoblog pursuant to the terms and conditions of this Agreement. The Blogger has accepted this offer from Cryptoblog.

  1.  Definitions and interpretation

 In this Agreement (including the recitals) unless the context otherwise requires: Schedule means the schedule to this Agreement;

Term means 12 Months from the date of execution of this Agreement; Unless the context requires otherwise:

 (a) a reference to a person includes a corporation or any other legal entity;

(b) the singular includes the plural and vice versa;

(c) a reference to “$” or “dollars” is to an amount in Australian currency;

(d) headings are for convenience and do not form part of this Agreement or otherwise affect the interpretation of this Agreement; and

(e)  the term “includes” (or any similar term) means “includes without limitation”.

  1.   Acceptance of Agreement

 (a)   The Blogger accepts and agrees to the Website’s Terms of Use, Privacy Policy, which are herein incorporated, and this Agreement’s terms and conditions. Should the Blogger NOT accept these terms and conditions, the Blogger must not access or otherwise use the Website.

(b)  Cryptoblog hereby reserves the right to alter its Terms of Use, Privacy Policy, and this Agreement at its sole discretion and without notice.

(c)  Cryptoblog may cancel its engagement with the Blogger at any time without notice.

  1.   Blogger Submissions

 (a) Pursuant to the terms of this Agreement, the Blogger shall provide original content to the Website in any format related to the services related to and provided by the Website (‘Submissions ‘).

(b) The Blogger shall obtain prior-approval of each Submission from Cryptoblog prior to posting any Submission to the Website, or to, on, or through any other media outlet.

(c)  The Blogger shall receive <to be negotiated> for providing Submissions.

  1.  Intellectual property

 The Blogger retains all title and ownership rights in the Submissions.

  1.  Grant of license

 (a) The Blogger grants Cryptoblog a perpetual, irrevocable, world-wide license to distribute, reproduce, publish and print the Submissions in accordance with terms and conditions of this Agreement.

(b) The Blogger agrees that Cryptoblog may sub-licence third parties to reproduce or communicate the Submissions, including communication on the Internet or through electronic or online databases, on such terms as Cryptoblog thinks fit.

(c) The Blogger shall not, at any time, do or suffer to be done any act which would impair materially Cryptoblog’s rights in or to the Submissions granted under this section.

  1.  Moral rights

The Blogger acknowledges that in order to promote the Submissions, it may be necessary for Cryptoblog to produce and distribute marketing material in print and/or electronic formats that includes adaptations or abridgements of the Submissions and the Blogger consents to Cryptoblog doing any of these acts.

Cryptoblog agrees that it will not modify the Submissions for any purpose other than promotion without prior written permission from the Blogger. The Blogger agrees that permission will not be unreasonably withheld.

  1.  Rights back to the Blogger

 Cryptoblog grants back to the Blogger the following rights:

 (a)  The right to photocopy or make single electronic copies of the Submissions for the Blogger’s own personal use, provided those copies are not offered for sale on a for-profit basis and are not distributed in any systematic way

(b)  The right to post the Submissions on a secure network (not accessible by the public) within the institution that employs the Blogger

(c)  The right, subsequent to publication by Cryptoblog, to use the Submissions, or any part thereof, free of charge in a printed compilation of works of the Blogger’s own, such as collected writings

(d)  The right to include the Submissions in other body of works provided that this is not to be published commercially

(e)   The right to re-use parts of the Submissions in other Submissions, provided that the other Submissions are not published commercially

(f)  The right to present the Submissions at a meeting or conference and to hand copies of the paper to the delegates attending the meeting or conference

  1.   Blogger acknowledgements

 The Blogger acknowledges that:

 (a)   the use or duplication of the Submissions in any other businesses by the Blogger would constitute a fundamental breach of this Agreement; and

(b)  it must not be a party (directly or indirectly) to the doing of any act, matter, omission or thing which may endanger, jeopardise or prejudicially affect the goodwill, image or standing of Cryptoblog.

  1.   Blogger’s duties and undertakings

 (a)  The Blogger will:

(i)   not sell, transfer, assign, license, part with possession or otherwise deal with the Submissions other than specified in the Agreement;

(ii)  at the Blogger’s cost, change the Submissions and the manner in which

they are displayed or used when reasonably requested by Cryptoblog;

(iii)   not, without the prior written consent of Cryptoblog, use the Submissions to conduct any other businesses which is substantially identical or deceptively similar to the business of Cryptoblog.

(b)   Third Party

(i) The Blogger will disclose within the Submission if any remuneration or compensation was received, in any form, from a third-party whose products or services form the basis of or are referenced in the Submission.

  1.       Permissions

All requests to reuse the Submissions, in whole or in part, in another publication (including in all commercially published edit Submissions) will be handled by Cryptoblog. Any permission fees will be retained by Cryptoblog.

All requests to use or include substantial parts of the Submissions in another publication (including publications of Cryptoblog) will be subject to the Blogger’s approval, which is deemed to be given if we have not heard from the Blogger within 36 Months from the date of Cryptoblog writing to the Blogger at the Blogger’s last notified address.

  1.   Indemnity

 The Blogger indemnifies and keeps indemnified Cryptoblog in full against all liability, loss, damages, costs and expenses incurred in connection to or arising from any claim, suit, action or proceeding brought against Cryptoblog and/or the Cryptoblog’s officers, directors, shareholders, representatives, employees, agents, distributors, licensees, or any respective affiliates out of or relating to:

 (a)   a breach by the Blogger of any term or warranty in this Agreement; or

(b)  any damage or injury to any person or property arising out of or relating in any way, directly or indirectly, to the Blogger’s breach of this Agreement.

  1.       General provisions

 (a) All notices, demands and other communications between the Parties for the purposes of this Agreement shall be in writing. Also, addressed to the Party’s registered business address. Such notice, if delivered personally or sent by facsimile. It shall be deemed received on that day or if delivered by other means, after two (2) business days of sending.

(b)  A party may only assign this agreement or a right under this agreement with the prior written consent of each other party.

(c)  The rights and obligations of the parties under this agreement do not merge on completion of any transaction contemplated by this agreement.

(d)   If a clause is void, illegal or unenforceable, it may be severed without affecting the enforceability of the other provision in this Agreement.

(e)  This Agreement may be executed in any numbers of counterparts and all such counterparts when executed and taken together will constitute this Agreement.

(f)  This Agreement is governed by and construed in accordance with the law of South Australia. Each party submits to the jurisdiction of the courts of South Australia.
